Same Day LLC and Corporation Formation

If you order before the deadline, your entity should be formed same day barring any issues from the State of registration. The formation confirmation documents will be sent by email the same business day. Please note that State processing may delay formation due to reasons beyond our control.

The price includes State filing fees to register your LLC or Corporation.
On top of that there is no fee to be paid to us for Operating Agreement, Bylaws, Stock Ledger, Meeting Minutes etc. There is no fee to be paid for Tax ID (EIN). You obtain the Tax ID instantly from the IRS website without sharing your SSN with us.

• We will complete a name availability search and immediately prepare and file the Articles with the appropriate department of your State of registration to register the entity.
• Barring any issues from your State of registration the formation date should be the same business date if you order same day formation before the deadline for your state of registration.
• You should receive the state formation confirmation documents by email same day.

• Barring any issues from the state that is processing the formation the confirmation documents should be sent to you by email same day.
• The documents will include the following:
  • State Charter (Certificate of registration)
  • A copy of the Articles.
• We will provide the information to be completed after registration

• After your corporation is formed, an organization meeting must be held for the purpose of adopting by-laws, electing directors and transacting any other business. We will provide you the initial meeting minutes and the sample bylaws.
• The corporation is required to keep correct and complete books and records of account and must keep minutes of the proceedings of its shareholders, board of directors. We will provide the sample meeting minutes to do so.
• The corporation must also keep a record containing the names and addresses of all shareholders, the number of shares (and class of shares – if any) held by each and the dates when they respectively became the owners of record thereof. We will provide stock ledger to do so.
• In addition, a meeting of shareholders must be held annually for the election of directors and the transaction of other business on a date fixed by or under the bylaws. We will provide you the sample meeting minutes for annual meeting.

Please note bylaws, corporate books and records are not required to be filed with the State or any other state agency. These are internal documents maintained by the corporation.
